Terms of Service

SkillSpring is operated by Cool How about LLC, a Utah limited liability company ("SkillSpring," "we," "us," or "our"). These Terms govern access to and use of getskillspring.io and the SkillSpring platform, including course creation and delivery, member management, AI coaching, and related features (the "Services").

By creating an account or using the Services, you agree to these Terms. If you act for a business or other organization, you confirm that you have authority to bind it, and references to "you" include that organization. If you do not agree, do not use the Services. Our Privacy Policy describes how personal information is handled; accepting these Terms does not replace any separate privacy consent required by law.

A "Creator" is a person or organization operating courses or other offerings through SkillSpring. A "Learner" is a person accessing those offerings. "Content" includes uploaded courses, lessons, files, resources, messages, submissions, and other materials supplied through the Services. "Contacts" are stored contact records, whether active or inactive.

2. Eligibility and accounts

All users, including Creators and Learners, must be at least 18 and legally able to enter this agreement. Minors may not create accounts or take courses through SkillSpring. Creators must not enroll minors.

Provide accurate account and billing information and keep it current. Protect your login credentials and API keys, and notify us promptly at [email protected] if you suspect unauthorized access. You are responsible for authorized users acting under your account and for activity attributable to your failure to protect account access, to the extent permitted by law. Do not share access to evade plan limits.

3. Plans and included features

Your purchase confirmation and the offer presented at checkout identify your plan, price, billing frequency, limits, and purchased add-ons. Ordinary recurring plans renew at the disclosed interval until canceled. Prices and fees are disclosed before purchase; applicable taxes and third-party charges may be additional. SkillSpring charges no transaction fee on Creators' course sales. Stripe, PayPal, and other third parties may charge their own fees.

Purchases are based on features available and expressly included at purchase. Roadmap statements do not guarantee a release date or inclusion of future features. Changes to recurring prices apply prospectively after notice and do not shorten an already-paid subscription term.

4. Lifetime deal

The base lifetime deal includes the following Starter features and limits as confirmed for this offer:

Storage: 1 GB

Team access: One seat

Messaging: One-to-one messaging

Course tools: Course outliner, homework review/accountability gate, drip scheduling, course bundles

Reporting: Course analytics, progress tracking and dashboard

Payments: Connect your own Stripe and PayPal accounts

AI and integrations: Smart search, one course AI agent, and Zapier integrations

Support: Email support

Updates to these included features, including their user experience and interface, are included. Separate additional features may require an additional purchase. Bulk messaging, API access, coupons, expanded storage, additional agents, higher contact limits, custom domains, and branding removal are not included unless expressly included in your purchase. Unlimited courses and resource links do not remove the storage, contact, or agent limits.

"Lifetime" means access for as long as SkillSpring continues operating. The lifetime entitlement has no recurring base subscription fee and does not expire merely because SkillSpring becomes unprofitable or changes its pricing. It ends if SkillSpring permanently shuts down. It is not a promise that the company or service will operate forever. Bankruptcy alone does not end the entitlement while SkillSpring continues operating, subject to applicable law and court orders.

Your included features are tied to your purchased offer; later changes to the publicly advertised Starter plan do not reduce those purchased entitlements. A separately purchased add-on has the scope and duration disclosed at checkout. Canceling a recurring upgrade leaves your original lifetime account intact; the upgrade remains available through its paid term, then your limits return to your retained entitlements. If your contact limit returns to 200, only the first 200 contacts retain access. More recently added contacts above that limit remain stored but are disabled and cannot access the courses; they are not deleted solely because of the downgrade.

The lifetime commitment does not prevent a customer-requested account closure or the reversal of access for a refunded purchase. We may suspend or terminate an account for fraud, unlawful activity, a serious violation of these Terms, or as required by law, but not simply to avoid the lifetime commitment.

5. Billing and cancellation

You authorize the charges disclosed for your purchases and recurring subscriptions. Keep payment details current. If a payment fails, we may notify you and restrict the unpaid subscription or upgrade until resolved. An unpaid optional upgrade does not cancel a separately paid lifetime entitlement.

To cancel a recurring subscription or upgrade, email [email protected] from your account email address and identify the subscription you want to cancel. Cancellation stops future renewals and takes effect at the end of the current paid term. You retain access during that term. For example, canceling on day 11 of a monthly term leaves access available for the remainder of that term. A cancellation request is not automatically a refund request; state if you also want an eligible refund.

6. Refunds

Lifetime-deal purchases: We offer a full, no-questions-asked refund within 365 days of the initial purchase date for the lifetime deal and upsells, downsells, and add-ons initially purchased as part of that offer. Eligible initial purchases include the offer's unlimited-member upgrade, branding removal, custom-domain option, and other included offer purchases, whether the initial charge is one-time or annual. The guarantee does not restart or extend upon renewal and does not cover subsequent renewal charges. Email [email protected] within the applicable window, identifying the purchase or purchases you want refunded. We may request information needed to locate and verify the transaction, but you do not need to justify your decision.

We submit eligible refunds to the payment processor within five business days of receiving the refund request. The time until funds appear in your account depends on the processor and your bank. Refunding the base lifetime deal ends access under that deal, automatically cancels its upgrades, and includes refunds for upgrades still within their applicable guarantee period. Refunding only an add-on removes that add-on while preserving the unrefunded base lifetime entitlement. Purchases outside their guarantee period and subsequent renewal charges are nonrefundable unless applicable law requires otherwise.

Ordinary subscriptions: Payments for subscriptions purchased outside the lifetime-deal offer are nonrefundable, including unused time. Cancellation preserves access through the paid term; it does not create a prorated refund. These rules do not limit refunds or other rights required by applicable law.

7. Creator sales and responsibilities

Creators connect their own Stripe and PayPal accounts and sell directly to their customers. SkillSpring supplies the platform and is not the seller of Creator courses. Creators are responsible for their offerings, descriptions, delivery, customer support, pricing, taxes, receipts, refunds, chargebacks, and compliance with applicable laws and payment-provider terms.

Creators must provide appropriate customer terms, privacy information, and refund disclosures, and obtain necessary permissions to upload content and personal information. SkillSpring's refund guarantee applies to eligible purchases from SkillSpring, not courses purchased from Creators. Learners should direct course-purchase disputes to the Creator.

8. AI coaching and third-party services

SkillSpring supports customer-selected AI providers, including Google's Gemini, Anthropic's Claude, and OpenAI's GPT models. Creators supply their own provider accounts and API keys. SkillSpring does not include or pay for AI usage. Provider charges, usage limits, and terms apply separately.

The AI coach uses the Creator's course content to support answers. Course content, student questions, and previous conversation context are sent to the selected AI provider using the Creator's API key. Student messages and AI replies are saved and can be viewed by the Creator. SkillSpring staff do not have a separate conversation-viewing interface but can view conversations by logging into the customer's account only with that customer's permission. See the Privacy Policy for these data practices. Creators must ensure they have the rights and permissions necessary for this processing.

AI responses can be incorrect, incomplete, or unsuitable. Review important outputs and do not rely on AI coaching as a substitute for qualified medical, legal, financial, or other professional advice. SkillSpring does not guarantee learning, business, or income outcomes. Third-party outages or model changes may affect AI features. Other integrations likewise depend on their providers and terms.

9. Content and intellectual property

You retain your rights in Content you provide. You grant SkillSpring a nonexclusive license to host, store, reproduce, transmit, display, and technically process it only as needed to deliver the Services, including your selected AI coaching, support, security, and legally required operations. We do not acquire ownership of your courses through this license. We do not use course content or conversations to train a general-purpose model for our own purposes.

You must own or have permission to use the materials you upload. Do not upload content that infringes others' rights. Report suspected infringement to [email protected] with identification of the work, the allegedly infringing material and its location, your contact details, and an explanation of your rights. We may investigate reports and restrict or remove infringing material in accordance with applicable law.

SkillSpring and its licensors retain rights in the platform, software, branding, and documentation. Your purchase grants access to the Services, not ownership of the software. You may provide feedback voluntarily, and we may use it without a payment obligation.

10. Acceptable use

Do not use SkillSpring for unlawful activity, fraud, harassment, threats, exploitation, spam, infringement, or distribution of malware. Do not attempt unauthorized access, bypass security or plan limits, extract another user's data, or disrupt the Services. Do not upload sensitive personal information that is unnecessary for your course or that you lack authority to process. Creators must obtain required consent for messages and honor applicable opt-out requests.

We may investigate reported misuse and restrict content or access as permitted by these Terms and law, including the account-enforcement provisions in Section 4.

11. End of access and deletion

For an ordinary canceled subscription, files, contacts, AI conversations, course context, and copies of course content held in the operational SkillSpring account are deleted when the paid term expires. SkillSpring does not retain backups of this account content. Separately, Hotjar session recordings, which may contain displayed course content, are retained for one year and are not automatically deleted when the account closes, subject to applicable legal deletion requirements. You must export or otherwise save the content and information you need before your paid term ends. Do not assume you can recover deleted account content from session recordings.

Canceling only a lifetime customer's upgrade does not close or delete the retained lifetime account. Administrative records, including billing records, support emails, and security logs, are distinct from course-account content and are addressed in the Privacy Policy. Information independently retained by Stripe, an AI provider, or another third party is subject to that provider's applicable terms and retention practices.

12. Availability and warranties

To the extent permitted by law, the Services are provided as available, without guarantees of uninterrupted operation, error-free performance, or particular results. We do not exclude warranties or remedies that cannot legally be excluded. Maintenance, third-party outages, and technical issues may temporarily affect access. General service changes do not override purchased lifetime entitlements or express refund rights.

13. Liability and third-party claims

To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, lost profits, or lost business opportunities arising from these Terms. SkillSpring's total liability arising out of the Services will not exceed the greater of $100 or the amount paid to SkillSpring for the affected account during the preceding 12 months; for a lifetime customer, the cap will not be less than the base lifetime purchase price. This cap does not reduce an expressly promised refund or limit liability that applicable law prohibits limiting, including applicable liability for fraud or intentional misconduct.

To the extent permitted by law, Creators will defend and indemnify SkillSpring against third-party claims arising from their infringing Content, unlawful use, or sales to customers, except to the extent caused by SkillSpring's own breach or misconduct. SkillSpring must give prompt notice, reasonably cooperate, and not agree to a settlement imposing obligations on the Creator without consent.

14. Utah law and courts

Utah law governs these Terms, excluding conflict-of-law rules and subject to mandatory protections that apply where you live. Disputes will be heard in the state courts in Davis County, Utah, or, where federal jurisdiction exists, the United States District Court for the District of Utah, unless applicable law requires another forum. These Terms do not require binding arbitration or waive class-action rights.

Please contact [email protected] to discuss a concern before filing a claim when practicable. This request does not prevent urgent relief or shorten a legal filing deadline.

15. Updates and general provisions

We may update these Terms and will provide notice of material changes by email or through the Services before they take effect, except where immediate changes are legally necessary. Changes will not retroactively remove an existing refund entitlement or the lifetime benefits expressly purchased. Any consent required by law will be obtained separately.

These Terms and your applicable purchase terms form the agreement for the Services. Specific purchase terms control over conflicting general provisions concerning included benefits, price, or refunds. If a provision is unenforceable, the remainder continues to the extent legally possible. Failure to enforce a provision is not a waiver. Provisions that by their nature should survive termination, including accrued payment obligations, dispute provisions, and valid liability limits, survive.
